This page explains how Ella AI is intentionally designed to avoid the unauthorized practice of law (UPL) in every jurisdiction we operate in, while still making legal help more accessible, understandable, and human.

 


 

General Framework 


Ella AI is an AI-powered legal learning assistant, not a law firm. Here’s what that means:

  • We provide legal information, not advice. Users can ask questions, upload documents, and receive explanations that help them understand the law or their documents more clearly. But we don’t tell users what they should do or offer guidance based on their specific facts.

  • We anonymize user data. Before any input is reviewed by our system or team, names, companies, locations, and other identifiers are stripped or obfuscated. This prevents the generation of advice directed at a specific person or situation.

  • We include real-time human oversight. All AI answers are monitored by licensed lawyers employed or contracted by Ella AI. These professionals review content for educational accuracy and can intervene if something crosses the line toward advice.

  • We offer a warm legal handoff. If a user needs specific legal help, Ella AI can connect them with a qualified lawyer through a fixed-fee marketplace. We don’t take a cut of legal fees, and lawyers must be licensed in the relevant jurisdiction.

 


 

How We Navigate UPL in the United States


UPL definitions vary by state, but generally include:

  • Representing someone in a legal matter,

  • Drafting legal documents on behalf of others,

  • Providing advice tailored to someone’s personal legal situation.


Ella AI avoids UPL by:

  • Providing only general explanations. For example, instead of saying “You should file a trademark application,” Ella might say, “In the U.S., you can apply for a trademark through the USPTO. Here’s how that process typically works.”

  • Referring out when things get specific. We flag moments where someone might need tailored help and refer them to a lawyer in our oversight team or marketplace.

  • Monitoring and improving through oversight. All answers are reviewed live or shortly after by a real lawyer or relevant legal professional to ensure the system stays aligned with legal education, not legal representation.

 


 

State-by-State Considerations (U.S.)


We’ve designed Ella AI’s system to be sensitive to stricter states like:

  • Texas & Florida: Known for aggressive UPL enforcement. We explicitly avoid interactive features that could be interpreted as individualized legal advice and carefully word answers with lawyer oversight.

  • California & New York: Our first target markets, chosen for their size and legal innovation. We’re building with California’s “not misleading to the public” standard in mind and are monitoring State Bar guidance regularly.

 


 

Canada, U.K., and Europe


Canada

Legal practice is regulated provincially. Ella AI avoids advice and connects users with licensed professionals in their jurisdiction when legal advice is needed. Our initial user education and outputs remain within the definition of public legal information.


United Kingdom

In the U.K., only “reserved legal activities” require regulation. Since Ella AI does not represent users or act in legal proceedings, and refrains from offering direct advice, it operates within permitted bounds of legal information services.


European Union

Each country varies, but most allow the dissemination of legal information without requiring a license. We are engaging with local counsel as we expand and will tailor disclaimers, user flow, and legal connections accordingly.
